Affiliate Partner Agreement

1. Parties
This Agreement is between Stoneone Ltd (registered in England and Wales), hereinafter referred to as “Stoneone” or “the Company”, and the individual or business applying to the Stoneone Affiliate Partner Programme, hereinafter referred to as “the Partner” or “Affiliate”.
2. Programme Overview
The Stoneone Affiliate Partner Programme enables approved third parties to refer potential customers to Stoneone for the supply and installation of stone worktops, surfaces, and related products. In return for successful referrals that result in completed sales, the Affiliate receives a commission payment as set out in this Agreement.
3. Affiliate Obligations
- The Affiliate may only submit leads for genuine prospective customers who have expressed interest in Stoneone products.
- The Affiliate must not misrepresent Stoneone products, pricing, or services to any customer.
- The Affiliate must not commit Stoneone to any price, delivery date, or contractual term without prior written authorisation.
- All quotations to customers must be issued directly by Stoneone. The Affiliate must not issue their own quotations on behalf of Stoneone.
- The Affiliate must comply with all applicable laws, including data protection legislation (UK GDPR), when collecting and handling customer information.
- The Affiliate must not engage in any activity that could damage the reputation of Stoneone.
4. Commission Structure
Commission is calculated as a percentage of the confirmed net sale value (excluding VAT), as follows:

Commission rates may be varied for individual Affiliates at Stoneone’s discretion, in which case the applicable rate will be stated in the Affiliate’s partner dashboard.
5. Lead Ownership and Protection
Where a lead is accepted by Stoneone, the referring Affiliate retains exclusivity over that customer for a period of 12 months from the date of acceptance. If the same customer is subsequently submitted by a different Affiliate during this period, the original Affiliate’s commission rights will be honoured.
Stoneone reserves the right to reject leads that are already in its direct sales pipeline prior to submission. In cases of dispute, the decision of Stoneone’s management is final.
6. Commission Payment
- Commission becomes payable only after Stoneone has confirmed receipt of full payment from the end customer.
- Affiliates may request payment via the partner portal once their commission status is marked as “Payable”.
- A minimum balance of £100 is required before a payout can be requested.
- Stoneone will process approved payout requests within 10 business days via bank transfer.
- Commission payments are exclusive of VAT. If the Affiliate is VAT-registered and required to charge VAT on their services, they must notify Stoneone in writing.
7. Confidentiality
The Affiliate acknowledges that information provided through the partner portal, including negotiation bands, pricing guidance, supplier information, and internal notes, is strictly confidential. This information must not be shared with customers, competitors, or any third party.
8. Termination
Either party may terminate this Agreement at any time by providing written notice. Stoneone may suspend or terminate an Affiliate’s account immediately in cases of material breach, including misrepresentation, fraud, or breach of confidentiality. Commission earned on accepted leads prior to termination will be honoured, subject to the terms of this Agreement.
9. Limitation of Liability
Stoneone’s total liability to the Affiliate under this Agreement shall not exceed the total commission paid to the Affiliate in the 12 months preceding any claim. Stoneone is not liable for any loss of profit, indirect, or consequential loss arising from the Affiliate’s participation in the programme.
10. Governing Law
This Agreement is governed by the laws of England and Wales. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Amendments
Stoneone reserves the right to amend these terms at any time. Affiliates will be notified of material changes by email and continued use of the partner portal following such notification constitutes acceptance of the revised terms.
